ESG Legal Compliance Clause

The [Party/Contractor/Supplier] agrees to conduct its business operations in compliance with all applicable laws, regulations, and standards relating to Environmental, Social, and Governance (ESG) matters, including but not limited to environmental protection, human rights, labor standards, anti-bribery and corruption, and corporate governance practices.

The [Party/Contractor/Supplier] further agrees to:

Implement and maintain policies and procedures to promote responsible environmental management and sustainability.
Uphold ethical labour practices, ensure diversity and inclusion, and respect human rights throughout its operations and supply chains.
Adhere to all anti-corruption and anti-bribery laws, including the UK Bribery Act 2010.
Cooperate with [Company Name] in providing relevant ESG performance information upon reasonable request.

Failure to comply with this clause may be considered a material breach of this Agreement, entitling [Company Name] to take appropriate corrective actions, including termination of the Agreement.
